Important Notice Regarding Disputes

PLEASE READ THESE TERMS CAREFULLY. SECTION 15 CONTAINS AN ARBITRATION PROVISION, A JURY-TRIAL WAIVER, AND A CLASS-ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, THESE PROVISIONS MAY REQUIRE CERTAIN DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION INSTEAD OF IN COURT BEFORE A JUDGE OR JURY.

1. Acceptance of These Terms

These Terms of Use Agreement ("Terms") govern your access to and use of realtrustcapital.com and any related webpages, online forms, portals, tools, content, or services that link to these Terms (collectively, the "Site"). The Site is operated by Real Trust Capital, a Wyoming business trust ("Real Trust Capital," "we," "us," or "our").

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, do not access or use the Site.

Certain financing products or services may be subject to separate disclosures, authorizations, provider terms, or transaction agreements. If these Terms conflict with a transaction-specific agreement, the transaction-specific agreement controls with respect to that transaction.

2. Commercial-Finance Broker Disclosure

Real Trust Capital is a commercial finance brokerage and is not a direct lender. We may help business applicants identify or connect with independent third-party lenders, funders, banks, finance companies, brokers, marketplaces, or other providers ("Financing Providers").

Real Trust Capital does not make credit decisions and does not guarantee approval, funding, rates, fees, amounts, repayment terms, savings, or funding times. Any offer is made solely by the applicable Financing Provider and is subject to that provider's underwriting, verification, documentation, final approval, terms, and applicable law. Product availability and requirements vary by applicant, provider, product, industry, and jurisdiction.

All financing discussed through the Site is intended solely for commercial or business purposes and not for personal, family, or household use. Nothing on the Site is financial, legal, tax, accounting, or investment advice.

3. Eligibility and Authority

You may use the Site only if you are at least 18 years old, are legally able to enter into a binding agreement, and are accessing the Site for a lawful business purpose. If you use the Site for a business or other legal entity, you represent that you are authorized to act for and bind that entity.

4. Applications and Information You Provide

When you submit an inquiry, application, document, or other information, you represent that:

  • the information is true, accurate, current, and complete;
  • you are authorized to provide it;
  • providing it does not violate another person's rights or any agreement or law; and
  • you will promptly correct information that becomes inaccurate or incomplete.

Submitting information does not guarantee that you will receive an offer or financing. We or a Financing Provider may request additional information, documents, identity verification, business verification, bank information, or authorization for a credit inquiry. Any credit inquiry will be handled according to the authorization presented to you during the applicable application process.

You authorize Real Trust Capital to use and share application information as described in our Privacy Policy and in any separate consent or authorization presented to you. Do not submit highly sensitive information through ordinary email unless we specifically instruct you to use an approved secure method.

5. Permitted Use

We grant you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful business purposes and in accordance with these Terms. We may suspend, restrict, or terminate access when reasonably necessary to protect the Site, users, Real Trust Capital, Financing Providers, or other parties, or when we believe these Terms or applicable law have been violated.

6. Prohibited Conduct

You may not:

  • provide false, fraudulent, misleading, or unauthorized information;
  • impersonate another person or entity or misrepresent your affiliation or authority;
  • use the Site for an unlawful, abusive, deceptive, or fraudulent purpose;
  • interfere with, disable, damage, overload, or disrupt the Site or another user's access;
  • attempt to gain unauthorized access to accounts, systems, networks, data, or security features;
  • introduce malware, viruses, automated attacks, harmful code, scraping tools, or unauthorized bots;
  • reverse engineer, copy, modify, or exploit Site software or content except as expressly allowed by law;
  • collect information about other users without authorization;
  • infringe intellectual-property, privacy, publicity, contractual, or other rights; or
  • use Site content to create a competing service, misleading advertisement, or unauthorized solicitation.

7. Accounts and Security

If an account or portal is made available, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. Notify us promptly at [email protected] if you suspect unauthorized access. We may require verification, reset credentials, or restrict access to protect the account or Site.

8. Ownership and Intellectual Property

The Site and its original text, graphics, logos, designs, software, arrangement, and other content are owned by or licensed to Real Trust Capital and are protected by applicable intellectual-property laws. Except for the limited right to use the Site under these Terms, no right, title, or license is granted to you.

You may not reproduce, distribute, display, publish, modify, sell, license, or commercially exploit Site content without prior written permission, except where applicable law expressly allows it. Third-party names, trademarks, and content belong to their respective owners. Reference to a third party does not imply endorsement unless expressly stated.

9. Feedback and User Submissions

You retain ownership of content you lawfully submit. You grant Real Trust Capital a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and use that content only as reasonably necessary to operate the Site, respond to you, process your request, prevent fraud, comply with law, and provide or improve our services, subject to our Privacy Policy and applicable law.

If you voluntarily provide general ideas or feedback that do not contain confidential or personal information, we may use them without restriction or compensation. Do not post or transmit content you do not have the right to provide.

10. Third-Party Services and Links

The Site may contain links to or integrations with Financing Providers and other independent third parties. Real Trust Capital does not control their websites, products, underwriting, security, availability, content, or privacy practices. Your dealings with a third party are governed by that party's agreements and policies. Read those terms before providing information or entering a transaction.

We do not endorse or guarantee a third party merely because its name, product, or link appears on the Site. To the fullest extent permitted by law, your use of third-party services is at your own risk.

11. Electronic Communications and E-Signatures

When you communicate with us electronically, you consent to receive notices, disclosures, records, and communications electronically, subject to applicable law and any separate electronic-consent disclosure presented to you. You agree that electronic records and signatures may have the same legal effect as paper records and handwritten signatures.

You are responsible for maintaining a working email address, telephone number, compatible device, internet access, and software capable of displaying and retaining electronic records. Where required, you may withdraw electronic consent or request paper copies by following the instructions in the applicable electronic-consent disclosure.

12. Telephone Calls and Text Messages

Providing a telephone number allows Real Trust Capital and its service providers to contact you about your inquiry, application, account, or requested services, as permitted by law. Marketing calls or text messages using regulated automated technology will be made only to the extent permitted by applicable law and any specific consent you provide.

Consent to marketing calls or texts is not a condition of applying for or obtaining financing. Message frequency may vary. Message and data rates may apply. You may reply STOP to an applicable marketing text to opt out and HELP for help, or email [email protected]. Transactional or servicing communications may continue when permitted by law.

This section does not replace any separate, application-specific telephone or text consent. If a separate consent conflicts with this section, the specific consent controls.

13. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." REAL TRUST CAPITAL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL CODE, OR THAT INFORMATION WILL ALWAYS BE COMPLETE, CURRENT, OR ACCURATE. ESTIMATES, CALCULATORS, EXAMPLES, ELIGIBILITY INDICATORS, AND EDUCATIONAL CONTENT ARE FOR GENERAL INFORMATION ONLY AND ARE NOT OFFERS, APPROVALS, OR GUARANTEES.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

14. Limitation of Liability and Indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, REAL TRUST CAPITAL AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF OPPORTUNITY ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO REAL TRUST CAPITAL FOR USE OF THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100. THIS LIMIT DOES NOT APPLY WHERE APPLICABLE LAW PROHIBITS IT.

You agree to indemnify and hold harmless Real Trust Capital and its owners, officers, directors, employees, agents, affiliates, and service providers from third-party claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the Site, your material breach of these Terms, your fraud or willful misconduct, or your infringement of another party's rights. This obligation does not apply to the extent a claim results from Real Trust Capital's own unlawful conduct.

15. Arbitration; Jury-Trial Waiver; Class-Action Waiver

Please read this section carefully. It affects legal rights.

(a) Informal resolution. Before starting arbitration or litigation, the complaining party must email a written notice describing the dispute and requested relief to [email protected] with the subject "Legal Dispute Notice." The parties will attempt in good faith to resolve the dispute for at least 30 days after the notice is received.

(b) Binding individual arbitration. Except for claims eligible for small-claims court and requests for temporary or preliminary injunctive relief involving unauthorized access, misuse, or intellectual-property rights, any dispute arising from or relating to the Site or these Terms that is not resolved informally will be resolved by confidential, binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Commercial Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

The arbitration will be heard by one neutral arbitrator. Unless the parties agree otherwise, hearings may be conducted by video, telephone, or document submission. Any required in-person hearing will take place in Wyoming, unless applicable law or the arbitrator requires another reasonably convenient location. The arbitrator may award any individual relief available under applicable law but may not grant relief for persons who are not parties to the arbitration.

(c) Jury-trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND REAL TRUST CAPITAL EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ARISING FROM OR RELATING TO THE SITE OR THESE TERMS.

(d) Class-action waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. If applicable law makes this waiver unenforceable for a particular claim or requested remedy, that claim or remedy will be decided by a court after all arbitrable matters are completed.

(e) Fees and severability. Arbitration fees will be allocated under the applicable AAA rules and applicable law. Each party will pay its own attorneys' fees unless a contract, statute, or arbitrator authorizes a fee award. If any portion of this Section 15 is held unenforceable, the remaining portions will remain effective to the fullest extent permitted by law, except that if the prohibition on class or representative arbitration is held unenforceable, the agreement to arbitrate will not apply to that class or representative proceeding.

16. Governing Law and Venue

Except to the extent federal law applies or applicable law requires otherwise, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. For any dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.

17. Changes to the Site or These Terms

We may modify the Site and these Terms from time to time. The "Last Updated" date identifies the latest version. Material changes will apply prospectively after reasonable notice when required by law. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms. If you do not agree to revised Terms, stop using the Site.

18. Termination

We may suspend or terminate Site access if you violate these Terms, create a security or legal risk, or misuse the Site. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnification, dispute resolution, and miscellaneous provisions—will survive.

19. Miscellaneous

These Terms, the Privacy Policy, and any applicable specific disclosures or agreements constitute the entire agreement regarding your use of the Site. If any provision is unenforceable, it will be modified only to the minimum extent necessary, and the remainder will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization, sale of assets, or operation of the Site, subject to applicable law. Headings are for convenience only.

20. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. The Privacy Policy is incorporated into these Terms by reference. Please read it before using the Site or submitting information.
